1. Introduction

These Terms & Conditions apply to all consultancy services provided by Wynn Transport Compliance Ltd ("Wynn Transport Compliance", "we", "us", or "our") to clients ("you" or the "Client").

By engaging our services, you agree to these Terms & Conditions.

Our services are designed to provide professional transport compliance support, guidance and recommendations. They do not replace the legal responsibilities of the operator, directors, transport managers, drivers or other responsible persons.

2. Services Provided

Wynn Transport Compliance Ltd provides transport compliance consultancy services, which may include:

  • Operator Licence compliance support

  • Transport compliance audits

  • Tachograph and drivers' hours analysis

  • Driver compliance reviews

  • Maintenance compliance reviews

  • Policy and procedure reviews

  • Operator Licence application support

  • General transport compliance advice

The exact scope of work will be agreed with the Client before services commence.

Wynn Transport Compliance Ltd does not provide formal Transport Manager appointment services and will not act or apply as your nominated transport manager under any circumstances.

3. Client Responsibilities

The Client agrees to:

  • Provide accurate, complete and up-to-date information required to complete the agreed work.

  • Provide access to relevant records, systems and documentation where required.

  • Notify Wynn Transport Compliance of any changes that may affect the advice provided.

  • Remain responsible for ensuring their legal compliance with all applicable legislation.

Wynn Transport Compliance Ltd cannot be held responsible for advice or recommendations affected by inaccurate, incomplete or misleading information supplied by the Client.

4. Professional Advice and Limitations

Wynn Transport Compliance Ltd provides professional consultancy advice based on the information available at the time of review.

While we aim to provide accurate and practical guidance, compliance decisions ultimately remain the responsibility of the Client.

Our services do not guarantee:

  • That enforcement action will not occur.

  • That an Operator Licence will not be subject to regulatory action.

  • That a DVSA investigation, audit or inspection will not identify additional matters.

Wynn Transport Compliance Ltd does not act as a substitute for the Client's legal duties or responsibilities.

5. Transport Manager Responsibilities

Where Wynn Transport Compliance Ltd provides consultancy support, this does not create a Transport Manager appointment or transfer any statutory responsibilities.

The Operator Licence holder, directors and any appointed Transport Manager remain responsible for ensuring compliance with applicable legislation.

Any formal Transport Manager appointment is strictly forbidden. Wynn Transport Compliance Ltd will not act as, apply to be, or accept appointment as your nominated transport manager.

6. Fees and Payment

Fees will be agreed before work commences.

Unless otherwise agreed:

  • Payment is required in full upfront before any work begins.

  • Work will not commence until cleared payment has been received.

  • Additional work outside the agreed scope may be charged separately and must also be paid in advance before it is carried out.

7. Cancellation and Rescheduling

If a Client wishes to cancel or rearrange agreed consultancy work, reasonable notice should be provided.

Wynn Transport Compliance Ltd reserves the right to charge for:

  • Work already completed.

  • Time specifically allocated where cancellation occurs at short notice.

  • Expenses incurred.

8. Confidentiality

Wynn Transport Compliance Ltd understands that Clients may provide commercially sensitive and confidential information.

We agree to:

  • Treat Client information as confidential.

  • Only use information for the purpose of providing agreed services.

  • Not disclose information to third parties unless authorised or legally required.

9. Data Protection

Wynn Compliance Ltd processes personal data in accordance with applicable UK data protection legislation. Details of how we collect and use personal information are set out in our Privacy Policy. Where applicable, Wynn Compliance Ltd is registered with the Information Commissioner’s Office (ICO).

Where personal data is processed on behalf of a Client, the parties may enter into a separate Data Processing Agreement where required.

10. Intellectual Property

Any reports, templates, documents, guidance materials or processes created by Wynn Transport Compliance Ltd remain the intellectual property of Wynn Transport Compliance Ltd unless otherwise agreed.

Clients may use documents provided for their own internal compliance purposes only.

11. Limitation of Liability

To the fullest extent permitted by law, Wynn Transport Compliance Ltd shall not be liable for:

  • Losses resulting from inaccurate information provided by the Client.

  • Losses caused by failure to implement recommendations.

  • Indirect or consequential losses.

  • Loss of profit, business opportunity or reputation.

Our liability in respect of any claim arising out of or in connection with the services provided shall be limited as follows:

  • Professional indemnity liability shall be limited up to the value of £250,000 per claim or series of related claims.

  • Public liability shall be limited up to the value of £1,000,000 per claim or series of related claims.

Where a claim exceeds the applicable limit or falls outside the scope of the relevant insurance cover, Wynn Transport Compliance Ltd shall not be liable for any amount beyond those limits, except where liability cannot lawfully be excluded or limited.

Nothing in these Terms limits liability where such limitation is prohibited by law.

12. Force Majeure

Wynn Transport Compliance Ltd will not be responsible for delays or failure to provide services caused by circumstances outside our reasonable control.

13. Complaints

If you are dissatisfied with our services, please contact us as soon as possible.

We will investigate complaints fairly and aim to resolve matters promptly.

14. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.

Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
